Under the Companies Act, dormant and private exempt companies with an annual revenue below S$5m are not required to have their accounts audited. However, such companies must continue to maintain proper accounting records and prepare "true and fair" financial statements in accordance with the Financial Reporting Standards (FRS). Failure to maintain proper accounting records could result in Directors being fined up to S$2,000 or imprisoned for a term of up to 3 months in addition to a default penalty. Directors could also be fined up to S$50,000 if the financial statements do not comply with the FRS.

The Singapore Accounting Standards Council (ASC) will be adopting the IFRS for Small and Medium-sized Entities. To be called the SFRS for Small Entities, it will be applied for financial periods beginning on or after 1 January 2011. An entity is eligible to use the SFRS for Small Entities if: (i) it is not publicly accountable and publishes general purpose financial statements for external users; and (ii) it qualifies as a Small Entity by virtue of it satisfying 2 out of the following 3 criteria: (a) annual revenue below S$10m; (b) gross assets below S$10m; (c) headcount below 50. The "Financial Reporting Standard for Small Entities" workshop is designed to update participants on the measurement and presentation requirements of this new standard as well as compare the differences with the Full FRS requirements.
